These terms are between RAM Software Studio Ltd, trading as Putlogic, a company registered in England and Wales with company number 17236535, whose registered office is at Unit C Aldow Enterprise Park, Blackett Street, Manchester, M12 6AE, registered with the Information Commissioner's Office under number ZC266667 ("we", "us", "our"), and the business that signs up to Putlogic ("you", "your").
Before you sign up: the terms to read first
Most of these terms are standard for business software. These are the ones that are less usual, or that could affect what you pay. Please read them before you accept.
- Prices can rise once a year with inflation. Once in any 12 months, we may raise our prices, including a founding price, the extra office user fee and the extra site user blocks, by no more than the rise in the UK Consumer Prices Index (CPI). We will give you at least 30 days' written notice. See clause 6.3.
- Any other price rise needs 60 days' notice, and you can leave first. Any price change other than the yearly inflation rise needs at least 60 days' written notice, and you can cancel without penalty before it takes effect. See clause 6.4.
- A big new feature may cost extra. Small improvements are included. A big new feature may cost extra each month. We'll tell you the price first, and you only add it if you want it. Founding firms keep their founding discount on new features. See clause 4.2.
- The founding price is for your first 24 months only. £239 a month for your first 24 months, reviewed once a year in line with CPI with notice first. Then the standard price. It also ends sooner if you cancel, if your subscription lapses for more than 30 days, or if you stop paying. It can only transfer on a genuine sale of your whole firm, with our written agreement. See clause 5.
- Site users are billed in blocks. 25 active site users a month are included. Above that, extra site users are billed in whole blocks of 10, at the end of the month. See clauses 2.2 and 6.2A.
- We may change or rebuild the software, including a major redevelopment, as long as the core functions you rely on stay available or are replaced with something reasonably equivalent. See clause 4.3.
- Putlogic records your safety work; it does not do it for you. Putlogic keeps your records. It does not replace the competent person's inspection. Your firm stays responsible for its scaffolds, inspections, competence and legal duties. See clause 9.
- No minimum term on monthly billing, 30 days' notice. You can cancel at any time by giving 30 days' notice. See clause 11.
1. What these terms cover
1.1 These terms, our order or sign up confirmation, and the Data Processing Agreement (the DPA) make up the whole agreement between us for Putlogic (the "Agreement"). If they conflict, the DPA wins on personal data, then the order confirmation, then these terms.
1.2 Putlogic is software for scaffolding contractors, used in a web browser and on phones: quotes, jobs, crews, scaffolds, handovers, inspections, tags, hire, stock, variations, invoicing and the client portal (the "Service").
1.3 Putlogic is for businesses only. By accepting these terms you confirm you are acting for a business and that you have authority to bind it. Consumer protection law that applies only to consumers does not apply to this Agreement.
2. Your account and your users
2.1 We set up your account and the first owner login. You can then add your own users.
2.2 There are three kinds of login:
- Office users: anyone with an owner, admin or manager login. Managers count as office users, even when they work on site.
- Site users: anyone with a scaffolder login. A site user counts as active in a calendar month if their login is used to sign in at least once in that month.
- Client portal logins: your own clients, who see only their own scaffolds, quotes, invoices and documents. These are free and never count as site users.
2.2A What counts as a site user. Only active site users count. These are not counted:
- people who have left your business and whose login has been switched off;
- client portal logins;
- people who are signed onto a RAMS by name but do not have their own login.
2.3 Each login is for one named person. Logins must not be shared.
2.4 You are responsible for who you give logins to, for removing people who leave, and for everything done under your logins. Tell us straight away at [email protected] if you think a login has been misused.
3. Using Putlogic
3.1 We grant you a non exclusive, non transferable right for your users to use the Service for your own business while this Agreement lasts.
3.2 You must not, and must not let anyone else:
- copy, resell or provide the Service to anyone outside your business;
- try to get at the source code, or test, scan or probe the Service for weaknesses without our written agreement;
- upload anything unlawful, harmful or that you have no right to use, or anything containing a virus;
- use the Service in a way that could damage it or affect other customers, such as automated requests at a rate a person could not make.
3.3 We may suspend a login, or your account, if we reasonably believe it is being used against clause 3.2 or puts the Service or other customers at risk. We will tell you why, and restore access as soon as the problem is dealt with.
4. What your price includes, and changes to Putlogic
4.1 Your plan includes the features of the Service available to your plan on the day you sign up, and our ongoing improvements, updates and fixes to those features, at no extra cost.
4.2 Small improvements are included. A big new feature may cost extra each month. We'll tell you the price first, and you only add it if you want it. If you are on the founding plan, you keep your founding discount on new features.
4.3 We are always improving Putlogic, and may change, replace or rebuild any part of the software, including a major redevelopment. When we do, the core functions you rely on will stay available, or will be replaced with something reasonably equivalent. If a change would take away a core function you use without a reasonable equivalent, we will tell you at least 60 days before, and you can cancel without penalty before the change takes effect.
4.4 We aim to keep the Service available at all times, but cannot promise it will never be interrupted. We will try to carry out planned work outside UK working hours and tell you beforehand where we can.
4.5 Support is included for every firm, and we do not charge for it. It includes check in calls on day 2 and day 7 of your first week, WhatsApp and phone support on 07453 109691 in UK working hours, and email at [email protected]. We aim to reply within one working day. A direct line to Reece, who built Putlogic, is a benefit of the founding plan.
4.6 24 working hour guarantee. Up and running within 24 working hours of the demo call, or your first month is free. Set up means your office can send a quote and your lads can sign in on their phones. The 24 working hours run in UK working hours (9am to 5pm, Monday to Friday, not bank holidays), from the end of the demo call. One claim per firm. If you pay annually, we credit one month's value instead.
5. Plans and prices
All prices are in pounds sterling. RAM Software Studio Ltd is not currently VAT registered, so no VAT is charged and the prices shown are the full price. If we register for VAT in future, VAT will be added at the applicable rate and we will give you at least 30 days' notice first.
5.1 Standard plan
- £289 a month, including 3 office users and 25 active site users a month.
- £15 a month for each extra office user.
- £65 a month for each extra block of 10 site users (clause 6.2). Extra site users are always billed in whole blocks of 10.
- A one off setup fee of £325.
- Client portal logins are free.
- Paying annually: one year for the price of 10 months (two months free).
- No minimum term on monthly billing. You can cancel with 30 days' notice (clause 11).
5.2 Founding plan (for the first 10 firms only)
- £239 a month for your first 24 months, reviewed once a year in line with CPI with notice first. Then the standard price. It includes 3 office users and 25 active site users a month.
- £15 a month for each extra office user.
- £65 a month for each extra block of 10 site users, the same as the standard plan (clause 6.2).
- Client portal logins are free.
- No setup fee.
- A big new feature may cost extra each month; you keep your founding discount on it (clause 4.2).
- Paying annually: one year for the price of 10 months (two months free).
- No minimum term on monthly billing. You can cancel with 30 days' notice (clause 11).
5.2A Who a founding place is for. Founding places are offered to the first 10 firms. They are for firms with up to 25 site staff when they join, working from one yard plus up to one small satellite depot. A small satellite depot is a second yard where you store your own equipment, run by the same company and from the same office, with no separate office team of its own. If your firm grows during your founding period, you keep the founding price for the rest of your 24 months and pay the normal extra site user blocks (clause 6.2).
5.3 How long the founding price lasts. Your founding price lasts for your first 24 months, counted from the date your subscription starts. At the end of the 24 months your plan moves to the standard plan prices then in force, and we will remind you by email at least 30 days before. The founding price also ends sooner, and the standard plan prices then apply if you continue or return, if:
(a) you cancel and your subscription ends;
(b) your subscription lapses, or is suspended for non payment, for more than 30 days in a row; or
(c) you stop paying: that is, an invoice is still unpaid 30 days after its due date, and we have reminded you in writing at least 14 days before the founding price ends.
5.4 When a founding place can transfer. A founding place, and the founding price, can only transfer on a genuine sale of your whole firm, with our written agreement: the founding place may then pass to the buyer, for the rest of your 24 months. It cannot pass with the sale of part of your business, or of its customers or equipment alone.
5.5 What the founding price covers. The founding price covers the features in the plan when you sign up, plus small improvements to them (clause 4.1). A big new feature may cost extra each month, and you keep your founding discount on it (clause 4.2).
5.6 Fair use, custom work and larger firms. Each plan is for normal use by one scaffolding business. We do not price by the yard. Custom work, such as reporting across several yards, integrations with accounts software or bespoke features, is not part of any plan and we will quote for it separately. Over 100 site users or more than one yard? We'll give you a quote.
5.7 Referrals. If you refer another firm to us and it becomes a customer: once they're set up (clause 4.6) and have paid their first month, we take one month off your next bill (on annual billing, one twelfth of your year), within 30 days. There is no limit on referrals.
6. Paying, and price changes
6.1 You pay monthly in advance, by Direct Debit or card, and each payment is due on your billing date. If you choose annual billing, you pay for the year in advance in the same way, due on the billing date.
6.2 Extra office users are charged from the day they are added, at the next invoice, and stop being charged from the next invoice after they are removed.
6.2A Extra site users. At the end of each calendar month we count your active site users for that month (clause 2.2). If there are more than 25, we bill the extra in whole blocks of 10, at £65 a month for each block, on your next invoice. For example, 26 to 35 active site users is one block, and 36 to 45 is two. We will tell the owner by email when your active site users reach 20 in a month, so there are no surprises. Nobody is ever locked out of Putlogic, or stopped mid job, because you have gone over 25.
6.3 Yearly inflation rise. Once in any 12 month period, we may increase any of our prices, including a founding price, the extra office user fee and the extra site user blocks, by no more than the percentage rise in the UK Consumer Prices Index (CPI), as most recently published by the Office for National Statistics before we give notice, over the 12 months it covers. We will give you at least 30 days' written notice, by email, of the new price and the date it starts. If CPI has not risen, the price does not rise.
6.4 Any other price change. Any change to our prices other than under clause 6.3 needs at least 60 days' written notice. You may cancel without penalty at any time before the change takes effect, and if you have paid in advance we will refund any whole months paid for after your cancellation takes effect. This clause does not apply to a founding price during your first 24 months. A founding price can only change under clause 6.3.
6.5 If a payment is not made within 14 days of its due date, we may remind you and, after a further 14 days' written notice, suspend access until it is paid. While suspended, your data is kept safe and nothing is deleted. We may charge interest on late payment under the Late Payment of Commercial Debts (Interest) Act 1998.
6.6 Annual billing: if you cancel during a year you have paid for, your subscription continues to the end of that year and the rest of the year is not refunded, except where you cancel under clause 4.3 or 6.4, or because of our breach, when we refund the whole months left.
7. Your data
7.1 Everything you and your users put into Putlogic (your jobs, quotes, scaffolds, records, photos, documents and the details of your staff and clients) is your data. You own it. We only use it to provide the Service to you, as set out in the DPA.
7.2 For the personal data in your data, you are the controller and we are your processor. The DPA sets out how we handle it, and forms part of this Agreement.
7.3 While you are a customer, an owner or admin can download your jobs, customers and invoices as spreadsheet (CSV) files from Settings at any time, and anyone with access can download the PDFs (certificates, reports, quotes and invoices) from the Service. We will also provide a full export of all your data, free, on request. When the Agreement ends, clause 11.5 applies.
7.4 We keep a nightly copy of every customer's data (backups) to protect it against loss, as described in the DPA.
7.5 We may use information about how the Service is used (for example which features are used and how often), in a form that does not identify you, your users or anyone in your data, to run and improve Putlogic.
8. Security
8.1 We protect the Service and your data with the measures in the DPA, Annex 2. Your data is held on servers in London.
8.2 You must keep your logins secure and make sure your users choose strong passwords and keep their phones locked.
9. Your responsibilities for safety and the law
9.1 Putlogic is a tool for recording and organising your work. It does not inspect scaffolds, design them, judge whether they are safe, or check that anyone is competent. Your firm remains fully responsible for:
- the design, erection, inspection, alteration and dismantling of every scaffold, and for complying with the Work at Height Regulations 2005, the Construction (Design and Management) Regulations 2015 and all other law that applies to you;
- making sure inspections and handovers are carried out by competent people, and that the information recorded is true and complete;
- your risk assessments, method statements (RAMS), briefings and the decisions you make about weather and site conditions;
- the prices, terms and VAT on the quotes and invoices you send.
9.1A Putlogic keeps your records. It does not replace the competent person's inspection.
9.2 Warnings, reminders, forecasts and checks in Putlogic (for example wind warnings, inspection due dates, competence card expiries or compliance sheet limits) are there to help, and depend on the information you enter. They do not replace your own judgement, and you must not rely on them as the only check.
9.3 Scaffold tags and their QR codes show the latest status recorded in Putlogic. You remain responsible for physical tagging and for stopping a scaffold being used when it is unsafe.
10. Liability
10.1 Nothing in this Agreement limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot by law be limited or excluded.
10.2 Subject to clause 10.1, we are not liable for any loss of profit, revenue, business, contracts, goodwill or anticipated savings, or for any indirect or consequential loss, however it arises.
10.3 Subject to clause 10.1, our total liability to you under or in connection with this Agreement, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the total fees you paid us in the 12 months before the event that gave rise to the claim.
10.4 Subject to clause 10.1, we are not liable for loss caused by the information you or your users enter, by your use of the Service against these terms, or by events outside our reasonable control, such as a failure of the internet, power or a supplier we could not reasonably avoid.
11. Ending the Agreement
11.1 You can cancel at any time by giving 30 days' notice by email to [email protected], or from your account settings when that is available. There is no minimum term on monthly billing and no cancellation fee. Your subscription ends 30 days after we receive your notice (or at the end of a year you have paid for, under clause 6.6).
11.2 We can end the Agreement by giving you at least 90 days' written notice, for example if we stop providing Putlogic. If we do, we will refund any whole months you have paid for after it ends.
11.3 Either of us can end the Agreement straight away by written notice if the other:
(a) seriously breaks it and, where the breach can be put right, does not put it right within 30 days of being asked in writing; or
(b) becomes insolvent, enters administration or liquidation, or stops trading.
11.4 We can also end the Agreement by written notice if an invoice is still unpaid 60 days after its due date.
11.5 Your data when it ends. For 30 days after the Agreement ends, you can still sign in as an owner to download your spreadsheets and documents, and we will provide a full export of all your data on request. After that we delete your data from the Service, and from our backups as they are overwritten, within 90 days of the end, unless the law requires us to keep it. If you need records kept for longer (for example inspection records for a claim), export them before the end.
11.6 Clauses that by their nature should continue after the Agreement ends (including clauses 7, 9, 10 and 11.5 and the DPA) do so.
12. General
12.1 Changes to these terms. We may update these terms. We will give you at least 30 days' notice by email of any change that affects you materially. Price changes follow clause 6 instead. If you do not accept a material change, you can cancel without penalty before it takes effect.
12.2 Transfer. You may not transfer this Agreement except as part of a genuine sale or merger of your business, and then only with our written agreement. A founding place only passes on a genuine sale of your whole firm, under clause 5.4. We may transfer it to a company that takes over Putlogic, on the same terms, and will tell you if we do.
12.3 Notices. Notices under this Agreement are given by email: to you, at the owner email on your account; to us, at [email protected]. An email is treated as received on the next working day after it is sent.
12.4 Subcontractors. We may use subcontractors to provide the Service. We stay responsible for them. Those who handle personal data are listed in the DPA.
12.5 Third party rights. Nobody other than you and us has any right to enforce this Agreement.
12.6 Entire agreement. This Agreement is the whole agreement between us about Putlogic and replaces anything said or written before. Neither of us has relied on anything not set out in it.
12.7 Severance. If any part of this Agreement is found unenforceable, the rest stays in force.
12.8 Law and courts. This Agreement is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
